Notice is hereby given that the Board of Directors, in its regular meeting held on September 17, 2024, approved the amendment of the Articles of Incorporation and By-Laws of First Metro Save and Learn F.O.C.C.U.S. Dynamic Fund, Inc. (SALFOCCUS) to reduce the number of directors from eight (8) to five (5) and align with the provisions of the Revised Corporation Code. The Board of Directors also approved to obtain the stockholders’ ratification of the said amendments through written assent.
This Notice for Written Assent is hereby given to registered stockholders of record as of the close of business on September 30, 2024. The stockholders will be given until October 31, 2024 to give their written assent to the amendment of Articles of Incorporation and By-Laws by sending through mail or email or delivering a duly signed copy to the office of FAMI at 18th Floor, PS Bank Center, Paseo de Roxas corner Sedeno St., Makati City or email address at asm@fami.com.ph.

We have sent to the stockholders by mail or electronic mail the Written Assent Form and all the relevant documents.
